Profits tax returns (BIR51) are typically issued annually. The standard filing deadline is one month from the date of issue. However, if your company has a tax representative, extended due dates apply based on your financial year-end: for year-ends between April and November (Code N), the deadline extends to around May of the following year; for December year-ends (Code D), to around August; and for January-March year-ends (Code M), to around November.
Late filing of a profits tax return may result in penalty proceedings under Section 80 of the IRO, with fines up to HK$10,000. The IRD may also issue estimated assessments and initiate court proceedings for continued non-compliance. We strongly recommend engaging a tax representative to manage deadlines.
Yes, if profits are sourced outside Hong Kong. However, you must substantiate the claim with evidence — contracts negotiated and concluded offshore, activities performed outside Hong Kong, and decision-making outside Hong Kong. The IRD applies the "operations test" rigorously. CityLinkers prepares comprehensive offshore claims with supporting documentation.
Only one entity within a group of "associated" entities can elect the two-tiered rates in a given year of assessment. Associated entities are those under common control. The election must be made in the tax return. Anti-fragmentation rules prevent artificial splitting of businesses to multiply the HK$2 million concession.
Deductible expenses include rent, salaries, interest on borrowings, repairs, bad debts, and depreciation (capital) allowances on fixed assets. Capital expenditure is not directly deductible but qualifies for capital allowances. Revenue expenses incurred in the production of chargeable profits are deductible under Section 16 of the IRO.
Yes, a dormant company (as defined in the Companies Ordinance) is still required to file a profits tax return unless the IRD has specifically advised that filing is not required. The return should be marked as nil or dormant. CityLinkers can assist with dormant company tax compliance.
Tax compliance involves meeting statutory filing obligations — preparing and submitting returns, computing tax liabilities, and responding to IRD queries. Tax advisory is strategic — proactively advising on structuring, planning, and transactions to legally minimise tax exposure while ensuring long-term compliance with evolving tax laws.
