Are capital gains taxable in Hong Kong M&A transactions?
Hong Kong does not tax capital gains. However, gains from the disposal of assets may be taxed as trading profits if the transaction is considered an adventure in the nature of trade. The IRD examines the "badges of trade" — such as the frequency of similar transactions, the holding period, the reason for disposal, and whether the asset was acquired with the intention of resale. Proper structuring and documentation are essential to support capital treatment.
Can tax losses be transferred in a Hong Kong M&A transaction?
Tax losses cannot be directly transferred in Hong Kong. However, in a share acquisition, the target company retains its accumulated tax losses, which may be carried forward and set off against future profits of the same trade, subject to the same business test under Section 61B and the anti-avoidance provisions of Section 61A. A change in shareholding does not, by itself, extinguish losses, but if the acquisition is tax-motivated and there is no genuine commercial reason, the IRD may challenge loss utilisation.
What is the stamp duty rate on Hong Kong share transfers?
Stamp duty on transfers of Hong Kong stock (shares in Hong Kong-incorporated companies) is charged at 0.2% of the consideration or market value (whichever is higher), with 0.1% payable by the buyer and 0.1% payable by the seller. The buyer typically pays both portions and recovers the seller's share from the consideration. Transfers of shares in non-Hong Kong companies are generally exempt from Hong Kong stamp duty, regardless of where the transaction takes place.
How is goodwill and intangible asset amortisation treated for Hong Kong tax purposes?
Hong Kong profits tax does not provide specific tax amortisation for goodwill. However, acquired intangible assets such as patents, copyrights, and trademark rights may qualify for capital allowances under the IRO if they are used in producing chargeable profits. Purchased goodwill receives no tax deduction. This is a key consideration in asset acquisition structuring — allocating purchase consideration to depreciable tangible assets maximises tax benefits.
Can financing costs for M&A be deducted in Hong Kong?
Interest paid on borrowings used to finance an acquisition may be deductible for Hong Kong profits tax purposes under Section 16(1)(a) of the IRO, provided the funds are used to produce chargeable profits. An MBO involves the management team acquiring the company or its business.
